These Terms of Use ("Terms") govern your access to and use of BuiltBySignal.com (the "Site"), operated by Built By Signal LLC ("SIGNAL", "we", "us", or "our"). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

Eligibility

The Site is intended for a business audience and for individuals who are able to form a binding contract. It is not directed to children under 13, and it should not be used by them. If you use the Site on behalf of an organization, you represent that you are authorized to accept these Terms for that organization.

Use of the site

The Site is provided for general informational purposes about SIGNAL and its ventures. You agree to use it lawfully and not to:

— interfere with or disrupt the Site, its security, or its supporting infrastructure;
— attempt to gain unauthorized access to any part of the Site, including the administration area;
— use automated means to scrape, harvest, or overload the Site beyond ordinary browsing;

Intellectual property

The SIGNAL name, wordmark, brand identity, and the text, graphics, and design of this Site are owned by Built By Signal LLC or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive license to view the Site for your own informational, non-commercial use. You may not reproduce, distribute, modify, or create derivative works from the Site's content without our prior written permission.

Trademarks

"SIGNAL", the SIGNAL wordmark, and the "The Bar" identity are marks of Built By Signal LLC. Each venture we build keeps its own name and carries the SIGNAL endorsement. Nothing on the Site grants any right to use these marks without our written consent.

Submissions and feedback

If you send us information through the contact form or otherwise — including inquiries, feedback, or ideas — you represent that you have the right to share it and that it is not confidential unless we agree otherwise in writing. Please do not send us confidential or proprietary information you expect us to keep secret. You grant us a non-exclusive, royalty-free license to use submissions and feedback to respond to you and to operate and improve our business, without obligation or compensation to you. SIGNAL develops its own ventures and does not solicit or review unsolicited business proposals.

No warranty

The Site is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that its content is complete or current, and we may change or remove content at any time.

Limitation of liability

To the fullest extent permitted by law, Built By Signal LLC and its members, managers, and personnel will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of data, profits, or goodwill, arising from your use of, or inability to use, the Site. To the extent liability cannot be excluded, our total liability for any claim relating to the Site is limited to one hundred U.S. dollars (US $100).

Indemnification

You agree to indemnify and hold harmless Built By Signal LLC from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your misuse of the Site or your violation of these Terms.

The Site may link to third-party websites, including the ventures we build. We are not responsible for the content, products, or practices of those sites, and links do not imply our endorsement.

Changes to the site and these terms

We may modify or discontinue the Site, and we may update these Terms, at any time. When we update these Terms, we will revise the "Last updated" date above. Your continued use of the Site after an update means you accept the revised Terms.

Governing law and disputes

These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws principles. You agree that any dispute relating to the Site or these Terms will be resolved exclusively in the state or federal courts located in Ohio, and you consent to the personal jurisdiction of those courts.

General

If any provision of these Terms is found unenforceable, the remaining provisions will stay in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy, are the entire agreement between you and SIGNAL regarding the Site.
